Terms of Service

Version 1.0 — Effective 13 June 2026. Draft pending counsel review; binding language will be confirmed before the first paid customer signature.

These Terms of Service ("Terms") govern your access to and use of the merchant.bd platform ("Service"). By creating an account, accessing the Service, or accepting an order form, you agree to these Terms. If you do not agree, do not use the Service.

1. Definitions

"merchant.bd", "we", "us" means the operating entity of the merchant.bd platform. "Customer", "you" means the legal entity or individual that registers for an account. "Service" means the merchant.bd hosted software, APIs, dashboards, and supporting infrastructure. "Content" means any data, files, or material you submit to the Service. "PSP" means a third-party payment service provider such as SSLCommerz, ShurjoPay, or AamarPay.

2. Account & eligibility

You must be at least 18 and authorised to bind your organisation. You are responsible for the accuracy of registration data, the security of your credentials, and all activity under your account. Notify us immediately at security@merchant.bd on any suspected compromise.

3. KYC & merchant obligations

The Service collects identity and business documents for know-your-customer ("KYC") and know-your-business ("KYB") checks. You warrant that all submitted documents are authentic, current, and lawfully held. We may refuse, suspend, or terminate an account whose KYC submission is incomplete, falsified, or fails partner-bank or regulator review.

4. Acceptable use

You will not use the Service to (a) violate any law of Bangladesh or your jurisdiction; (b) process payments for goods or services prohibited by your acquirer's MATCH/Terminated Merchant File rules; (c) attempt to bypass RLS, rate limits, or audit logging; (d) reverse engineer non-public APIs; (e) re-sell the Service without a written reseller agreement. 5. Third-party payment services

merchant.bd is not a bank, not a PSO, and not a PSP. We do not hold, transmit, or settle customer funds. Payment acceptance, refunds, and settlement are performed by independent PSPs you select. Your relationship with the PSP is governed by its own agreement; we are not a party to it and have no liability for PSP-side decline, chargeback, settlement delay, or compliance action.

6. Fees, taxes & billing

Subscription fees are listed on /pricing in BDT and are exclusive of VAT, withholding tax, and other government levies, which you bear. Enterprise pricing is governed by your order form. Invoices are due on receipt unless otherwise stated. Unpaid fees more than 14 days overdue may trigger suspension after written notice.

7. Your Content & data

You retain all rights to your Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, process, and transmit Content solely to operate, secure, and improve the Service. Personal data is processed per our Privacy Policy and, where applicable, a signed Data Processing Addendum.

8. Intellectual property

The Service, including all software, designs, trademarks, and documentation, is owned by us or our licensors and protected by Bangladesh and international IP law. No rights are granted except as expressly stated in these Terms. Feedback you submit may be used without obligation.

9. Suspension & termination

We may suspend or terminate your account on (a) material breach of these Terms; (b) failure of KYC or partner-bank review; (c) regulator, law- enforcement, or acquirer directive; (d) unpaid fees after notice; or (e) activity that puts the Service or other customers at risk. You may terminate at any time from Dashboard → Settings. On termination, your right to use the Service ends; we will make Content available for export for 30 days, then delete it.

10. Warranty disclaimer

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted, error-free, or attack-free operation.

11. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenue, data, or goodwill. Each party's aggregate liability under these Terms is limited to the fees paid by you to us in the 12 months preceding the event giving rise to liability. This cap does not apply to your payment obligations, your breach of Section 4 (Acceptable Use), or either party's indemnity obligations.

12. Indemnity

You will defend and indemnify us against third-party claims arising from your Content, your use of the Service in breach of these Terms, or your violation of law or third-party rights.

13. Force majeure

Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disaster, network outage, regulator action, war, or labour disruption.

14. Governing law & disputes

These Terms are governed by the laws of the People's Republic of Bangladesh. Disputes are subject to the exclusive jurisdiction of the courts of Dhaka, without prejudice to either party's right to seek injunctive relief in any competent court.

15. Changes & notices

We may update these Terms; material changes will be notified by email or in-product banner at least 14 days in advance. Continued use after the effective date constitutes acceptance. Notices to us: legal@merchant.bd.
